For the purposes of this definition, \"control\" shall mean the direct or indirect ownership of more than fifty percent (50 %) of the voting rights or share capital of an entity, or the power to otherwise direct the management and policies of such entity through contract or otherwise.<\/td>\n        <\/tr>\n        <tr>\n          <td><strong>Business day<\/strong><\/td>\n          <td>Refers to any day from Monday to Friday which is not a public holiday in the Republic of Slovenia.<\/td>\n        <\/tr>\n        <tr>\n          <td><strong>Company<\/strong><\/td>\n          <td>Refers to the following company: RISO d.o.o., Ribi\u0161ka pot 18, 2230 Lenart, tax number: SI66431590, registration number: 2230569000.<\/td>\n        <\/tr>\n        <tr>\n          <td><strong>Company apps<\/strong><\/td>\n          <td>functional extensions to the standard software functionalities<\/td>\n        <\/tr>\n        <tr>\n          <td><strong>Confidential Information<\/strong><\/td>\n          <td>information that is designated as confidential or whose confidentiality results from the relevant circumstances. This includes, in particular, financial, technical, commercial and legal information. It also includes information that relates to business activities, employees or management staff, as well as information that relates to a contracting party or its affiliated companies within a corporate group.<\/td>\n        <\/tr>\n        <tr>\n          <td><strong>Contractual Terms (\"CT\")<\/strong><\/td>\n          <td>Refers to any legal document, concluded between the Company and Customer, which comprise of the following documents:\n            <ul>\n              <li>These General Terms<\/li>\n              <li>Individual contracts between the Company and Customer<\/li>\n              <li>All annexes to the individual contracts<\/li>\n              <li>Other legal agreements between the Company and Customer<\/li>\n            <\/ul>\n          <\/td>\n        <\/tr>\n        <tr>\n          <td><strong>Cookie Policy<\/strong><\/td>\n          <td>Cookie Policy of Company websites and Software, as published on the website of the Company.<\/td>\n        <\/tr>\n        <tr>\n          <td><strong>Customer<\/strong><\/td>\n          <td>The party with whom the Company contracts in the Individual Contract<\/td>\n        <\/tr>\n        <tr>\n          <td><strong>General Terms and Conditions<\/strong><\/td>\n          <td>This document, which sets out the general legal framework of the commercial relationship between the Company and Customer<\/td>\n        <\/tr>\n        <tr>\n          <td><strong>Hosted Services<\/strong><\/td>\n          <td>services provided by the Company to the Customer through its infrastructure and software accessible via a network (e.g., the Internet), including the hosting of applications, data and related content, maintenance, security updates, technical support, and ensuring system availability.<\/td>\n        <\/tr>\n        <tr>\n          <td><strong>Indirect taxes<\/strong><\/td>\n          <td>Includes VAT, levies, charges, penalties and other taxes<\/td>\n        <\/tr>\n        <tr>\n          <td><strong>Individual Contract<\/strong><\/td>\n          <td>a contract concluded between the Company and Customer that includes individually negotiated condition and \/ or other individually agreed-upon documents and agreements between the Customer and Company.<\/td>\n        <\/tr>\n        <tr>\n          <td><strong>Open-source software<\/strong><\/td>\n          <td>third-party software for which the source code is publicly available and which is contained in the Software or otherwise delivered or made available to the customer.<\/td>\n        <\/tr>\n        <tr>\n          <td><strong>Pre-release versions<\/strong><\/td>\n          <td>Newly designed components or versions of Software that have not completed final testing and have therefore not yet been fully released to all Customers of the Company as part of a full release version.<\/td>\n        <\/tr>\n        <tr>\n          <td><strong>Privacy Policy<\/strong><\/td>\n          <td>Privacy Policy of the Company, as is published on the Company website and the acceptance of which is a prerequisite to receive the Services of the Company.<\/td>\n        <\/tr>\n        <tr>\n          <td><strong>Service<\/strong><\/td>\n          <td>Any obligation of the Company as specified under the Contractual Terms<\/td>\n        <\/tr>\n        <tr>\n          <td><strong>Software<\/strong><\/td>\n          <td>software components specified in further detail in the individual contract or the service description (functionalities, apps and any additional software components).<\/td>\n        <\/tr>\n      <\/tbody>\n    <\/table>\n  <\/section>\n\n  <section class=\"article-1\">\n    <h2>1. <strong>Introductory<\/strong><\/h2>\n    <ol>\n      <li>The General terms include the general rules applicable between the Company and the Customer. In connection with the service-specific annexes they form the Contractual Terms (\"<strong>CTs<\/strong>\").<\/li>\n    <\/ol>\n  <\/section>\n\n  <section class=\"article-2\">\n    <h2>2. <strong>Scope of application<\/strong><\/h2>\n    <ol>\n      <li>The CTs govern all contracts for the provision of services by the Company to the Customer<\/li>\n      <li>The following hierarchy or order of precedence applies:\n        <ol type=\"a\">\n          <li>Individual contracts<\/li>\n          <li>Annexes<\/li>\n          <li>General terms and conditions<\/li>\n        <\/ol>\n      <\/li>\n      <li>Departing, conflicting, or supplemental terms and conditions of the Customer will only form part of the contract if the Company has expressly agreed to their applicability within the Individual contracts with the Customer. The unreserved provision of services by the Company in awareness of the Customer's terms and conditions does not constitute an acknowledgment of their applicability.<\/li>\n    <\/ol>\n  <\/section>\n\n  <section class=\"article-3\">\n    <h2>3. <strong>Execution of services and personnel<\/strong><\/h2>\n    <ol>\n      <li>The Company determines all the personnel involved in the execution of the services. The Company is unable to fulfill the personnel requirements that may be put forth by the Customer unless otherwise agreed upon in the CTs. Unless otherwise specified in the General Terms or Individual Contracts, the Customer may not instruct the members of staff working for the Company.<\/li>\n      <li>The Company may involve subcontractors in the performance of Services.<\/li>\n      <li>Insofar as these third parties act as processors within the meaning of the GDPR, their involvement is strictly subject to the conditions contained in the Privacy and Cookie Policy.<\/li>\n    <\/ol>\n  <\/section>\n\n  <section class=\"article-4\">\n    <h2>4. <strong>Dates<\/strong><\/h2>\n    <ol>\n      <li>Any date unilaterally required by the Customer are considered as a desired delivery date which is not legally binding for the Company. This applies even when the option of \"delivery date\" is marked as an option for selection on Individual contracts, annexes or other documentation.<\/li>\n      <li>All time periods commence on the next business day upon receipt of all of the information necessary for the rendering of the services. This time period may also be postponed if the Company sends a delay notice to the Customer for reasons outside the Company's control.<\/li>\n      <li>Unless otherwise provided for in the CTs, deadlines defined in days represent business days and do not refer to calendar days.<\/li>\n      <li>The effective date shall be considered to be from the start of the day of such date and the expiry date shall be considered to be up to and including the end of the day of such date.<\/li>\n    <\/ol>\n  <\/section>\n\n  <section class=\"article-5\">\n    <h2>5. <strong>Prices and payment terms<\/strong><\/h2>\n    <ol>\n      <li>Unless specified otherwise, all prices are expressed in euros and are exclusive of VAT.<\/li>\n      <li>Unless specified otherwise in the individual contracts, invoices are issued once a month.<\/li>\n      <li>Unless stipulated otherwise in the individual contracts, all invoices are due within thirty (30) days of the invoice date.<\/li>\n      <li>Upon default of payments, interest payable, as referred to under Slovene law on commercial transactions, is due without there being a need to set additional notice or notice of default. The Company reserves the right to suspend its services in the event that payments are overdue or invoices remain unpaid. Other rights of the Company remain unaffected in cases of late payment.<\/li>\n    <\/ol>\n  <\/section>\n\n  <section class=\"article-6\">\n    <h2>6. <strong>Confidentiality<\/strong><\/h2>\n    <ol>\n      <li>The Parties shall treat all Confidential Information received from the other Party as strictly confidential and will not divulge such information to any third party, unless required by law or with the prior written consent of the disclosing Party. Parties shall use such Confidential Information solely for performance of the CTs and will take all reasonable measures to protect the confidentiality of such information. This does not apply to information that:\n        <ol type=\"a\">\n          <li>Is or becomes publicly known through no action or inaction of the receiving party<\/li>\n          <li>Was or is in the lawful possession of the receiving party prior to the time of disclosure;<\/li>\n          <li>Was or is disclosed to the receiving party by a third party having the legal right to do so without a confidentiality obligation;<\/li>\n          <li>Was or is independently developed by receiving party without use or knowledge of the Confidential Information or materials of the other party;<\/li>\n          <li>Has to be disclosed for the disclosure required by the law or a court order.<\/li>\n        <\/ol>\n      <\/li>\n      <li>The obligations set out in this Article remain in effect during the contractual relationship and for three (3) years after the termination thereof.<\/li>\n    <\/ol>\n  <\/section>\n\n  <section class=\"article-7\">\n    <h2>7. <strong>Privacy and data protection<\/strong><\/h2>\n    <ol>\n      <li>Personal data is any information which may, directly or indirectly, relate to an identified or identifiable natural person.<\/li>\n      <li>Personal data provided by the Customer or made available by a Customer to the Company, where the Company is authorized by the Customer to process such data, is processed by the Company on behalf of the Customer, in the role of a Processor to the extent and the purposes outlined in the CTs. The Company is obligated to comply with the applicable data protection regulations (particularly the GDPR and Slovenian data protection law). Therefore, if or insofar as the Company processes personal data on behalf of Customer, the parties shall conclude a data processing agreement or the CTs will include a provision on data processing by the Company, as per General Data Protection Regulation and national law.<\/li>\n      <li>Further provisions on data protection are contained in the Privacy and Cookie Policy, which the Customer accepted when registering.<\/li>\n      <li>The Customer consents to receiving notices via e-mail, which can be sent to the e-mail addresses set out in the CTs (on an on-going basis, including any updated e-mail address). Any e-mail is deemed to have been received upon dispatch.<\/li>\n    <\/ol>\n  <\/section>\n\n  <section class=\"article-8\">\n    <h2>8. <strong>Force Majeure<\/strong><\/h2>\n    <ol>\n      <li>Neither party shall be liable to the other party for any delay or failure in the performance of its obligations (except for payment obligations) as a result of events or conditions beyond its reasonable control, including, but not limited to, natural disasters, acts of God, war, civil commotion, government actions, riots, fires, floods, earthquakes, pandemics, epidemics, explosions, transportation disruptions, power failures, or telecommunication failures (collectively, <strong>Force Majeure<\/strong>).<\/li>\n      <li>The affected party must promptly notify the other party in writing of the occurrence of a Force Majeure event and the expected duration of the delay. The affected party shall use reasonable efforts to mitigate the impact of the Force Majeure event and resume performance as soon as reasonably practicable.<\/li>\n      <li>If the Force Majeure event continues for more than thirty (30) consecutive days, either party may terminate the Individual Contract by providing written notice to the other party, without liability for damages, early termination fees, or other compensation.<\/li>\n    <\/ol>\n  <\/section>\n\n  <section class=\"article-9\">\n    <h2>9. <strong>Liability<\/strong><\/h2>\n    <ol>\n      <li>The Company is liable to the Customer for damages caused by the Company, its legal representatives or vicarious agents, in case of intent or gross negligence. The provisions of this clause apply analogously to the indirect costs. In cases of ordinary negligence only in the violation of essential obligations. Essential obligations are only obligations whose fulfillment is essential for the proper performance of the Individual Contracts and whose observance the Customer can regularly rely on (such as IT security provisions, provisions with regard to the availability (uptime) of Company IT environment or services etc.). The Company's liability for data loss is limited to the typical recovery costs which would have been incurred if backup copies had been made regularly and in accordance with the risk involved.<\/li>\n      <li>The Company's total liability for a case of damage is limited to the aggregated remuneration paid by the Customer to the Company in the 12 (twelve) months immediately preceding the claim event or damage-causing event.<\/li>\n      <li>The Company shall not be liable for damages arising out of or resulting from the following:\n        <ol type=\"a\">\n          <li>modification of the Software by the Customer or any third party on its behalf;<\/li>\n          <li>use of the Software in combination with any other software or services not provided or approved by the Company;<\/li>\n          <li>any breach by the Customer of its obligations under these General Terms or any applicable laws or regulations;<\/li>\n          <li>any Force Majeure event or any cause beyond the Company's reasonable control;<\/li>\n          <li>any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenues, loss of data, loss of business opportunities, or business interruption, even if the Company has been advised of the possibility of such damages.<\/li>\n        <\/ol>\n      <\/li>\n      <li>The limitation of liability does not apply to damages arising from injury to life, body or health.<\/li>\n      <li>The limitation of liability also does not apply to liability under mandatory statutory provisions (e.g., Product Liability Act), where the Company is liable regardless of fault.<\/li>\n    <\/ol>\n  <\/section>\n\n  <section class=\"article-10\">\n    <h2>10. <strong>Warranty<\/strong><\/h2>\n    <ol>\n      <li>The Company warrants that the Software and Services will substantially conform to the specifications and functionality described in the relevant documentation and the CTs, provided that the Software is used in accordance with these General Terms and applicable documentation.<\/li>\n      <li>The Company does not warrant that the Software will meet all of the Customer's requirements, will operate uninterrupted or error-free, or that all software errors will be corrected.<\/li>\n      <li>The Customer's exclusive remedy for breach of warranty shall be, at the Company's discretion: (a) repair or replacement of the non-conforming Software or Services; or (b) refund of the fees paid for the non-conforming Software or Services during the 12-month period immediately preceding the warranty claim.<\/li>\n      <li>Warranty claims must be submitted in writing within thirty (30) days of discovery of the defect. The Company shall have a reasonable period of time to remedy any warranty defects.<\/li>\n      <li>The warranty does not apply to:\n        <ol type=\"a\">\n          <li>defects caused by improper use, negligence, or misuse of the Software by the Customer or any third party;<\/li>\n          <li>modifications to the Software made by anyone other than the Company;<\/li>\n          <li>use of the Software in an environment or with hardware not specified or approved by the Company;<\/li>\n          <li>Pre-release versions or beta Software clearly marked as such;<\/li>\n          <li>Open-source software components, which are provided \"as is\" subject to their respective licenses.<\/li>\n        <\/ol>\n      <\/li>\n      <li>EXCEPT AS EXPRESSLY SET FORTH IN THIS ARTICLE, THE COMPANY MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.<\/li>\n    <\/ol>\n  <\/section>\n\n  <section class=\"article-11\">\n    <h2>11. <strong>Updates and maintenance<\/strong><\/h2>\n    <ol>\n      <li>The Company shall provide regular updates, patches, and maintenance releases for the Software as part of the Services, which may include bug fixes, security updates, performance improvements, and minor feature enhancements.<\/li>\n      <li>The Company reserves the right to perform scheduled maintenance on its systems and infrastructure. The Company will provide advance notice of scheduled maintenance whenever reasonably possible, specifying the expected duration and impact on Services. The Company shall endeavor to perform maintenance during off-peak hours to minimize disruption to the Customer's business operations.<\/li>\n      <li>The Customer acknowledges that some updates may require temporary interruption of the Services. The Company shall use commercially reasonable efforts to minimize the duration and frequency of such interruptions.<\/li>\n      <li>Major version upgrades that significantly change the functionality or user interface of the Software may be offered as optional upgrades. The Company reserves the right to discontinue support for older versions of the Software with reasonable advance notice to the Customer.<\/li>\n    <\/ol>\n  <\/section>\n\n  <section class=\"article-12\">\n    <h2>12. <strong>Third parties<\/strong><\/h2>\n    <ol>\n      <li>The Company may engage third-party service providers, subcontractors, or technology partners (collectively, <strong>Third-Party Providers<\/strong>) to assist in the delivery of the Services or to provide certain components of the Software.<\/li>\n      <li>The Company shall remain fully responsible and liable for the performance of all Third-Party Providers engaged by the Company as if the Company had performed the services itself. The Company shall ensure that all Third-Party Providers comply with obligations equivalent to those set forth in these General Terms, particularly with respect to confidentiality, data protection, and security requirements.<\/li>\n      <li>The Company may change Third-Party Providers at its discretion, provided that such changes do not materially diminish the quality or security of the Services provided to the Customer.<\/li>\n      <li>Where Third-Party Providers process personal data on behalf of the Company in connection with the Services, the Company shall ensure that appropriate data processing agreements are in place with such Third-Party Providers in accordance with applicable data protection laws.<\/li>\n    <\/ol>\n  <\/section>\n\n  <section class=\"article-13\">\n    <h2>13. <strong>System Requirements and Customer Obligations<\/strong><\/h2>\n    <ol>\n      <li>The Customer is responsible for maintaining compatible hardware, software, and internet connectivity required to access and use the Services. The Company shall specify the minimum system requirements in the relevant documentation or on its website.<\/li>\n      <li>The Customer is responsible for:\n        <ol type=\"a\">\n          <li>ensuring the accuracy, quality, and legality of all data and content submitted to or processed through the Software;<\/li>\n          <li>maintaining the security and confidentiality of all user credentials, passwords, and access codes;<\/li>\n          <li>promptly notifying the Company of any unauthorized access to or use of the Customer's account;<\/li>\n          <li>complying with all applicable laws and regulations in connection with its use of the Services;<\/li>\n          <li>obtaining and maintaining all necessary licenses, consents, and permissions required for the Company to provide the Services;<\/li>\n          <li>cooperating with the Company in the investigation of any suspected security breach or misuse of the Services.<\/li>\n        <\/ol>\n      <\/li>\n      <li>The Customer shall not:\n        <ol type=\"a\">\n          <li>use the Services in any manner that violates any applicable laws or regulations;<\/li>\n          <li>attempt to gain unauthorized access to any systems, networks, or data;<\/li>\n          <li>interfere with or disrupt the integrity or performance of the Services;<\/li>\n          <li>introduce any viruses, malware, or other harmful code;<\/li>\n          <li>reverse engineer, decompile, or disassemble any part of the Software;<\/li>\n          <li>use the Services to transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable;<\/li>\n          <li>use the Services in a way that infringes upon the intellectual property rights or other rights of any third party.<\/li>\n        <\/ol>\n      <\/li>\n    <\/ol>\n  <\/section>\n\n  <section class=\"article-14\">\n    <h2>14. <strong>Data retention and deletion<\/strong><\/h2>\n    <ol>\n      <li>The Company shall retain the Customer's data in accordance with the retention periods specified in the CTs or as required by applicable law, whichever is longer.<\/li>\n      <li>Upon termination or expiration of the Individual Contract, the Company shall, at the Customer's request and choice:\n        <ol type=\"a\">\n          <li>return all Customer data in a commonly used, machine-readable format; or<\/li>\n          <li>securely delete all Customer data from the Company's systems and backups within a reasonable timeframe not exceeding sixty (60) days after termination.<\/li>\n        <\/ol>\n      <\/li>\n      <li>The Customer acknowledges that after the deletion period specified in the preceding paragraph, the Company will have no obligation to retain or provide access to any Customer data.<\/li>\n      <li>Notwithstanding the foregoing, the Company may retain Customer data to the extent and for such period as required by applicable law, regulation, or legal process. The Company shall continue to maintain the confidentiality and security of any such retained data in accordance with these General Terms.<\/li>\n    <\/ol>\n  <\/section>\n\n  <section class=\"article-15\">\n    <h2>15. <strong>Dispute resolution<\/strong><\/h2>\n    <ol>\n      <li>In the event of any dispute, controversy, or claim arising out of or relating to these General Terms or the CTs, or the breach, termination, or invalidity thereof (a <strong>Dispute<\/strong>), the Parties shall first attempt to resolve such Dispute through good faith negotiations.<\/li>\n      <li>If the Parties are unable to resolve the Dispute through negotiations within thirty (30) days of one Party notifying the other Party of the Dispute in writing, either Party may initiate formal dispute resolution proceedings.<\/li>\n      <li>Any Dispute that cannot be resolved through negotiations shall be finally settled by the competent court in the Republic of Slovenia, in accordance with Slovenian law.<\/li>\n      <li>Notwithstanding the foregoing, either Party may seek interim or provisional relief, including injunctive relief or a restraining order, from any court of competent jurisdiction as may be necessary to protect its rights or property pending the resolution of the Dispute.<\/li>\n      <li>The Parties agree to maintain the confidentiality of all aspects of any dispute resolution proceedings, including the existence of the dispute, all submissions, and the outcome, except as may be required by law or to enforce any resulting settlement or judgment.<\/li>\n    <\/ol>\n  <\/section>\n\n  <section class=\"article-16\">\n    <h2>16. <strong>Amendments to the General Terms<\/strong><\/h2>\n    <ol>\n      <li>The Company may amend these General Terms at any time in accordance with the provisions set hereafter.<\/li>\n      <li>The Customer must be notified of any amendments in via the e-mail that they provided.<\/li>\n      <li>All amendments of the General Terms come into effect 14 days from the announcement referred to in the previous paragraph, if not otherwise indicated in the amendment or e-mail. If a Customer is not properly notified of the amendment, the General Terms come into effect two weeks from the date on which they were properly notified of the amendment.<\/li>\n      <li>The Customer has the right to object to the amendment. The Customer must declare their objection to the amendment within 7 days from receipt of the notice from the Company. The objection shall only be deemed to be valid if the Company has received the objection in writing within the one-week period referred to in the previous sentence. The Company shall review the objection of the Customer but is not obliged to deliver a response.<\/li>\n      <li>The Customer may withdraw from the Individual Contract within two weeks from the receipt of the notification of amendment. The Customer may withdraw from the Individual Contract only if the amendments to the General Terms materially impact their use of the Company's services or their rights in relation to the Company to the Customer's disadvantage.<\/li>\n      <li>The Customer may withdraw from the Individual Contract within the time period, referred to in the previous paragraph, only by issuing a withdrawal notice in writing to the Company. The Company must receive the withdrawal notice within the time period, referred to in the previous paragraph. The termination will take effect 6 weeks after receipt of the termination notice by the Company. The withdrawal notice is only valid if the Customer specifies which of the amendments to the General Terms are disputed.<\/li>\n      <li>The Company may revoke the Customer's declaration of withdrawal from the Contract by notifying the Customer that the disputed changes to the General Terms and conditions remain unchanged for this specific Customer. The Company may do so in writing at any point from the receipt of the withdrawal notice and until the termination takes effect.<\/li>\n    <\/ol>\n  <\/section>\n\n  <section class=\"article-17\">\n    <h2>17. <strong>Export controls<\/strong><\/h2>\n    <ol>\n      <li>Software and IT services may be subject to export laws and regulations specifying export restrictions, including but not limited by approval requirements.<\/li>\n      <li>The Customer is required to comply with all export control regulations applicable to services rendered by the Company.<\/li>\n      <li>Performance of the contract by the Company is conditional on the absence of performance impediments resulting from national and international export law regulations and\/or other statutory requirements (e.g. sanctions).<\/li>\n    <\/ol>\n  <\/section>\n\n  <section class=\"article-18\">\n    <h2>18. <strong>Individual Contract term and termination<\/strong><\/h2>\n    <ol>\n      <li>The Individual Contract becomes effective upon mutual signature. The Company and the Customer warrant that signatures are made solely by authorized signatories.<\/li>\n      <li>Unless the Individual Contract provides otherwise, it shall automatically renew for a period of 12 months, unless either Party terminates it at least two months prior to its expiration. The preceding sentence applies to both full and partial terminations of the Individual Contract.<\/li>\n    <\/ol>\n  <\/section>\n\n  <section class=\"article-19\">\n    <h2>19. <strong>Intellectual property and license<\/strong><\/h2>\n    <ol>\n      <li>All intellectual property rights, including but not limited to copyrights, trademarks, patents, trade secrets, database rights, and any other proprietary rights relating to the Services and Software and all associated algorithms, data models, templates, documentation, updates, enhancements or modifications thereto (collectively referred to as \"<strong>Company IP<\/strong>\") are and shall remain the sole and exclusive property of the Company or its licensors. Customers acknowledge, that no ownership rights in the Company IP are transferred, assigned or conveyed to the Customer under these CTs, other than the limited license explained hereafter.<\/li>\n      <li>Subject to the Customer's compliance with their CTs and payment of all applicable fees, the Company grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable license during their subscription to the Company's Services and Software solely for the Customer's internal business purposes and for the number of reporting entities and authorized users specified in their CTs. This license is limited only to the use of the Services and Software provided through the Company's platform and does not include any right to copy, modify, reverse engineer, decompile, disassemble or create derivative works of the Service, Software or any company IP.<\/li>\n      <li>All Company IP not expressly granted to the Customer are reserved by the Company. Nothing in these General Terms shall be construed as transferring any ownership or proprietary rights in the Company IP to the Customer or any third party.<\/li>\n      <li>The Company reserves the right to withdraw from any Individual Contracts without notice and \/ or seek appropriate legal remedies in case of Customer's infringement of intellectual property rules.<\/li>\n    <\/ol>\n  <\/section>\n\n  <section class=\"article-20\">\n    <h2>20. <strong>Miscellaneous<\/strong><\/h2>\n    <ol>\n      <li>Agreements between the Company and the Customer as well as all amendments and additions to the General terms shall require the written form (exchange of electronic signatures suffices). The aforementioned formal requirements also apply to the amendment or revocation of this clause.<\/li>\n      <li>An assignment of individual rights or obligations as well as the complete contractual relationship is only permitted with the prior written consent of the other contracting party. In cases where required for the purpose of corporate restructurings, the Company is further authorized to give prior notice and then assign individual rights or obligations as well as the entire contractual relationship to affiliated companies within the same corporate group.<\/li>\n      <li>Declarations made by the Parties (e.g. purchase orders, termination notices etc.) are only legally effective if expressed in a written form (e.g. in an e-mail, fax or letter).<\/li>\n      <li>The Company is authorised to disclose the Customer's name to serve as a reference Customer in publications of the Company or its Related Entities.
